The Investment Company plc, a long-established London-listed investment trust, plans to shift its portfolio management from Chelverton Asset Management to boutique wealth and fund manager Dowgate Wealth. The move will be accompanied by the adoption of a new multi-asset, scarcity-focused investment objective designed to protect and grow shareholders’ real purchasing power over the long term.
Under the proposals, the company will undertake a recapitalisation through a capital raise via placing, offer for subscription and/or a matched bargain facility, while also offering existing shareholders a tender option to exit up to all of their shares at a 5% discount to net asset value. The package of changes, which is inter-conditional and subject to shareholder, regulatory and court approvals as well as sufficient capital being raised, aims to reposition the trust with a modernised strategy while giving investors a clear choice between continuing in the revamped vehicle or cashing out.
