Ten Pao Group Holdings Limited ( (HK:1979) ) has shared an update.

Ten Pao Group Holdings has announced a series of board and committee changes to comply with Hong Kong listing rules on the tenure of independent non-executive directors. Long-serving independent non-executive directors Mr. Chu Yat Pang Terry and Mr. Lee Kwan Hung Eddie will retire by rotation at the annual general meeting in June 2026 and will not stand for re-election, stepping down from their roles on the audit, remuneration and nomination committees.

To refresh independent oversight, the board has proposed appointing Mr. Cheung Chin Hoo and Ms. Ferheen Mahomed as new independent non-executive directors, subject to shareholder approval at the AGM. Cheung is slated to become chairman of the audit committee and a member of the remuneration and nomination committees, while Mahomed will join the remuneration and nomination committees, and existing independent director Dr. Lui Sun Wing will take over as chairman of the remuneration committee.
