On March 11, 2026, TaskUs subsidiary TU BidCo, Inc. entered into a Second Amended and Restated Credit Agreement with JPMorgan Chase Bank and other lenders, replacing its prior facility originally established in 2019. Under the new agreement, the borrower received $500 million in term loans and $100 million in revolving commitments, with the term loan proceeds used to refinance existing borrowings, pay transaction costs, and fund a previously announced special cash dividend to TaskUs stockholders.

The facility carries interest at either Term SOFR plus 2.75% or an alternative base rate plus 1.75%, and it introduces a quarterly amortization schedule beginning with the fiscal quarter ending September 30, 2026, running through final maturity five years after the amendment date. The revised agreement maintains substantially similar collateral but adds a consolidated total net leverage covenant capped at 3.25x and relaxes certain covenants, providing TaskUs with increased financial flexibility for working capital, general corporate purposes, and permitted acquisitions.
