Target Hospitality ( (TH) ) has provided an announcement.

On April 21, 2026, Target Hospitality entered into an underwriting agreement for a secondary public offering of 7,000,000 shares of its common stock held by selling shareholders Arrow Holdings S.à r.l. and MFA Global S.à r.l., entities controlled by TDR Capital. The deal, led by Morgan Stanley & Co. LLC and Deutsche Bank Securities Inc. as representatives of the underwriting syndicate, was priced at $14.00 per share and included a 30-day option for underwriters to buy up to an additional 1,050,000 shares.

Because all shares are being sold by existing shareholders, Target Hospitality will not receive any proceeds from the transaction, which instead facilitates a partial exit and liquidity event for its private equity backers. The offering, registered under the company’s existing shelf registration and supported by customary representations, covenants and indemnification provisions, increases the stock’s public float and could broaden the shareholder base without diluting existing shareholders or altering the company’s capital structure.

The most recent analyst rating on (TH) stock is a Buy with a $15.00 price target. To see the full list of analyst forecasts on Target Hospitality stock, see the TH Stock Forecast page.

Spark’s Take on TH Stock

According to Spark, TipRanks’ AI Analyst, TH is a Neutral.

The score is driven primarily by mixed financial performance (current losses offset by a de-risked, zero-debt balance sheet and still-positive cash flow). Upside factors include a very constructive earnings outlook with substantial multiyear contract awards and recent major contract-driven guidance increases, while valuation remains pressured by negative earnings and technical momentum appears overextended (high RSI), raising near-term volatility risk.
