Taikisha has resolved to overhaul its performance-linked stock-based compensation plan for executives, converting its existing Board Benefit Trust into a new Board Benefit Trust-Restricted Stock scheme that will be submitted for shareholder approval in June 2026. The revamped structure ties share grants for directors and corporate officers to performance while imposing transfer restrictions until resignation, aiming to deepen alignment with shareholders, strengthen the link between pay, operating results and stock value, and reinforce incentives to improve corporate value over the medium to long term.

Under the proposed plan, a trust funded by the company will acquire Taikisha shares and provide stock and cash-based compensation to eligible directors and officers in line with internal benefit rules, with shares granted annually and cash paid upon resignation. Existing points accrued under the current plan will be converted into restricted shares for those still in office after the shareholder meeting, with all such stock subject to comprehensive transfer restriction agreements designed to ensure sustained value-sharing and risk-sharing with shareholders.
