T3 Defense ( (DFNS) ) has provided an update.

On February 24, 2026, T3 Defense Inc. entered into a securities purchase agreement with Esousa Group Holdings for a two-stage private placement of up to $20 million, funded through Series B convertible preferred stock and common stock warrants. The structure includes an initial $10 million closing on February 26, 2026 and a committed second tranche of up to $10 million subject to registration effectiveness, shareholder approval under Nasdaq rules, minimum share price and trading value thresholds, and anti-dilution protections.

The financing is designed to fortify T3 Defense’s balance sheet and accelerate its roll-up strategy across the aerospace and defense sector, with proceeds earmarked for acquisitions, working capital on multi-year programs and expanding operational capacity in portfolio companies. Governance and control features include high-vote, senior-ranking preferred shares, a 9.9% ownership cap, lock-up agreements for executives and directors, participation rights in future financings for the investor and restrictions on issuing parity or senior securities, while the company also disclosed the immediate resignation of director Aviya Volodarsky on February 23, 2026 and engaged Dawson James Securities as exclusive placement agent.
