On February 17, 2026, T3 Defense’s Board of Directors approved a new consulting agreement with Israeli firm Billio Ltd. to continue providing the services of Menachem Shalom as principal executive officer, effective January 1, 2026, replacing multiple prior agreements tied to Shalom’s roles and affiliated entities. Citing the company’s performance and recent acquisitions, the board increased Shalom’s compensation, granted him a $250,000 cash bonus for past services, and set a pay package including a $60,000 monthly base salary, performance-based cash and milestone bonuses, quarterly common stock grants subject to plan availability and shareholder approval under Nasdaq rules, a potential $175,000 relocation grant, standard executive benefits and defined severance terms, alongside customary non-competition, non-solicitation and confidentiality provisions.
