Syrah Resources has launched a fully underwritten pro-rata accelerated non-renounceable entitlement offer of one new share for every 1.32 shares held, aimed at existing eligible shareholders, with Macquarie Capital underwriting and AustralianSuper sub-underwriting up to about A$69 million. The structure of the raising means AustralianSuper’s voting power could rise from 34% to as high as 63%, depending on take-up by other investors, potentially giving the super fund effective control while the company maintains that no immediate changes to operations, strategy or governance are expected beyond continued support for ramp-up plans at Balama and commercial production at Vidalia.
The entitlement offer, split into institutional and retail components, is not expected to affect Syrah’s day-to-day operations, but it may significantly reshape the share register and consolidate AustralianSuper’s influence. Syrah emphasised that AustralianSuper currently intends to back the existing board and strategy, suggesting continuity for stakeholders even as ownership concentration increases.
