SunPower Inc ( (SPWR) ) has provided an update.

On April 23, 2026, SunPower Inc. closed a $41 million private offering of 10.00% Convertible Senior Secured Notes due 2029, sold primarily to qualified institutional buyers and accredited investors, including $6 million to entities affiliated with CEO and Chairman T.J. Rodgers and $10 million issued in exchange for a seller note tied to its 2025 acquisition of Sunder Energy. The notes, which may convert into up to 36,283,184 common shares, are governed by a new indenture and secured by a first-priority lien on substantially all company and guarantor assets, while related patent and trademark security agreements further collateralize the debt.

In tandem with the offering, SunPower restructured obligations to Chicken Parm Pizza LLC by paying $4 million in cash and issuing an amended and restated seller note, and it executed exchange agreements with certain holders of its 7.0% Convertible Senior Notes due 2029. Under these exchanges, the company repurchased $21.25 million of the 7.0% notes in return for 18,805,310 common shares and accrued interest payments, a move that reduces near-term debt but adds equity dilution as SunPower seeks to shore up liquidity and strengthen its balance sheet through secured convertible financing and liability management transactions.
