Sumitomo Chemical Moves Ahead With Polyolefin Business Integration With Prime Polymer

Sumitomo Chemical has signed an absorption-type company split agreement with Prime Polymer to transfer its Japanese polypropylene and linear low-density polyethylene businesses in the first phase of a previously announced polyolefin integration. Under the multi-stage transaction, Sumitomo Chemical will shift these target businesses to Prime Polymer and ultimately acquire a 20% equity stake in the joint venture, deepening its alliance with Mitsui Chemicals and Idemitsu Kosan while streamlining its domestic polyolefin operations.

The business integration, structured as a two-phase simple absorption-type split, is scheduled to take effect beginning July 1, 2026 for Phase One and April 1, 2027 for Phase Two, subject to regulatory clearances. The company expects the asset and sales reductions from each phase to remain below disclosure thresholds, indicating limited balance sheet impact, while the move is aimed at strengthening competitiveness and efficiency in Japan’s polyolefin market through consolidation with Prime Polymer.
