On June 16, 2025, SRM Entertainment, Inc. entered into a Securities Purchase Agreement for a private investment in public equity (PIPE Offering) involving 100,000 shares of Series B Convertible Preferred Stock and warrants for common stock. The transaction, involving an institutional investor, includes a $100 million payment in TRON tokens and aims to enhance SRM’s financial positioning. The agreement includes an Advisory Agreement with Justin Sun, and the investor’s sole shareholder, Weike Sun, joins SRM’s Board. The securities are not registered under the Securities Act and are offered only to accredited investors.
