An announcement from S&P Global ( (SPGI) ) is now available.

On May 19, 2026, S&P Global announced that Mobility Global, the newly formed holding company for its Mobility division, had priced a $2 billion private offering of senior notes ahead of a planned spin-off to shareholders. The issue comprises $650 million of 5.050% notes due 2029, $650 million of 5.450% notes due 2031 and $700 million of 6.050% notes due 2036, and Mobility Global has also arranged a $500 million senior unsecured revolving credit facility.

The offering, sold to qualified institutional buyers and certain offshore investors under U.S. securities exemptions, is expected to close on May 29, 2026, with proceeds placed in escrow until completion of the separation. After the spin-off, Mobility Global intends to use the funds to pay S&P Global for transferred assets and liabilities and to cover fees and general corporate purposes, underscoring S&P’s move to establish Mobility as a standalone, well-capitalized player in automotive data and analytics.

Spark’s Take on SPGI Stock

According to Spark, TipRanks’ AI Analyst, SPGI is a Outperform.

The score is driven primarily by strong financial performance (very high margins and strong free-cash-flow conversion) and a supportive earnings outlook with reiterated full-year guidance and continued margin expansion. Offsetting these strengths, technicals are weak with the stock in a clear downtrend below major moving averages, and valuation/income support is only moderate given a ~22.7 P/E and sub-1% dividend yield.
