Sono Group ( (SSM) ) has provided an update.

On February 19, 2026, Sono Group N.V. issued a $750,000 convertible debenture to YA II PN, Ltd. (Yorkville) bearing 12% annual interest, rising to 18% in case of default, and maturing on February 19, 2027, with an option for Yorkville to extend the maturity date. Yorkville can convert the debenture into ordinary shares at the lower of $18.75 per share or 85% of the lowest daily volume-weighted average price over the seven trading days before conversion, subject to a floor price and nominal value limits, and the instrument was sold via a private placement relying on U.S. securities law exemptions, providing Sono with $750,000 in net proceeds while potentially diluting equity holders upon conversion.

The debenture’s conversion terms link Sono Group’s cost of capital to its market performance, as the variable conversion price mechanism allows Yorkville to convert at a discount to recent trading prices within defined boundaries. By raising funds through an unregistered private placement, the company secured short-term financing without an immediate public offering, but it introduced future equity issuance risk for existing shareholders depending on how the share price evolves before the 2027 maturity date.

The most recent analyst rating on (SSM) stock is a Hold with a $7.00 price target. To see the full list of analyst forecasts on Sono Group stock, see the SSM Stock Forecast page.

Spark’s Take on SSM Stock

According to Spark, TipRanks’ AI Analyst, SSM is a Neutral.

The score is held back primarily by weak financial performance—persistent cash burn, small revenue base, and low earnings quality despite improved reported results. Technical indicators are neutral-to-soft with a broader downtrend, while valuation appears cheap on P/E but is less meaningful given profitability/cash-flow concerns.
