The Smarter Web Company has launched a discounted voluntary offer to buy back up to 49 million of its April 2025 Pre-IPO warrants at 22.5 pence each, ahead of their vesting window between April 2026 and April 2028. A major related party, 210k Capital L.P., holding 39 million warrants and affiliated with non-executive director Tyler Evans, has committed to tender its entire position, while the CEO, his spouse and other insiders will retain their warrants to maintain long-term equity exposure. The buyback will be financed with up to about £11 million of short-term borrowing under the Coinbase Strategic Credit Facility, which the board views as supporting capital structure optimisation and potentially enhancing the firm’s Bitcoin-related performance metrics.
