An announcement from Skanska AB ( ($SE:SKA.B) ) is now available.

Skanska’s 2026 Annual General Meeting approved the 2025 financial statements and set a total dividend of SEK 14.00 per share, combining an ordinary and an extraordinary payout, while granting discharge from liability to the board and CEO. Shareholders re-elected the entire board, confirmed Hans Biörck as chair, approved board and committee fees, and reappointed Ernst & Young as auditor, signalling continuity in governance.

The meeting renewed and expanded authorizations for the board to repurchase up to 23.5 million Class B shares, both to service employee share plans and to fine-tune the company’s capital structure, and backed a reduction of share capital via withdrawal of 24 million treasury shares followed by a bonus issue to restore capital without issuing new shares. Investors also approved a new long-term share saving program, Seop 8, covering most permanent employees for 2026–2028, reinforcing alignment between staff and shareholders and supporting Skanska’s ability to retain key talent while using share buybacks to manage equity and enhance shareholder value.
