Both departing directors stated they have no disagreements with the board and no matters that need to be brought to shareholders’ attention.
Following Chow’s resignation, the company no longer meets several Hong Kong listing requirements regarding the minimum number and proportion of independent non-executive directors and the size and qualifications within its audit committee. The board said it will make its best efforts to recruit suitable candidates and restore full compliance with the Listing Rules within three months from 30 April 2026, and will issue further announcements when appropriate.
