Shanxi Installation Group Co., Ltd. has agreed to form a joint venture with Shanghai Jingyu and Shanxi Infrastructure to invest in a build-own-operate (BOO) environmental project, with respective capital contributions of RMB43.8962 million, RMB27.9339 million and RMB7.9811 million, giving Shanxi Installation a controlling 55% stake funded from internal resources and resulting in the venture becoming its non-wholly owned subsidiary. The new joint venture will focus on investment, construction, operation and management of environmental and municipal projects, including water pollution control, wastewater treatment and recycling, solid waste management, water resource management, and related consulting and technology services, representing a connected transaction under Hong Kong Listing Rules that triggers reporting and annual review requirements but is exempt from shareholder approval, and potentially strengthens the company’s presence in the environmental services and infrastructure sector.
