Seri Industrial S.p.A. ( (IT:SERI) ) has issued an announcement.

Seri Industrial’s board has confirmed that several non-executive directors meet the independence standards set out in Italian law and the Corporate Governance Code, reinforcing its governance structure. Following the review, the board composition was detailed, highlighting which members are independent under both frameworks and clarifying leadership roles, including the chairman, deputy chairman and chief executive officer.

The board also approved a major related transaction under which SE.R.I. SpA will assume, under Article 1268 of the Civil Code, obligations toward factoring companies for advances granted to subsidiaries Menarini SpA and Seri Plast SpA. An information document will be prepared in line with Consob regulations, signalling a financially significant move that consolidates group-level support for subsidiary funding and may affect the company’s risk profile and capital management strategy.
