Serabi Gold ( (GB:SRB) ) just unveiled an announcement.
Serabi Gold has approved the vesting of its 2023 conditional share awards under its long-term incentive plan after significantly outperforming three-year targets for total shareholder return, return on capital employed and return on sales. In recognition of this outperformance, the remuneration committee increased the number of shares vesting by 17.5%, resulting in 1,098,298 new ordinary shares due to participants and a net issuance of 573,209 settlement shares after deducting shares to cover employee taxes.
Chief executive Michael Hodgson will receive 305,397 net settlement shares and finance director Colm Howlin 85,333, with the remainder going to former employees, and the new shares will rank pari passu with existing stock and be admitted to trading on AIM. Following admission, Serabi’s enlarged issued share capital will rise to 76,307,760 ordinary shares, modestly diluting existing shareholders but underlining management’s strong incentive alignment with the company’s recent financial and market performance.
