Seafire AB ( (SE:SEAF) ) has provided an update.
Seafire AB has agreed to acquire all shares in Splendor Plant AB, the Nordic region’s leading wholesale plant nursery, for SEK 135 million on a cash and debt-free basis with a potential SEK 15 million earn-out, adding a business focused on supplying trees and shrubs to professional customers. The deal, which will see current co-owner Nils Andersen stay on as CEO, is expected to lift Seafire’s pro forma 2025 revenue by 21% to SEK 1.13 billion and adjusted EBITA by 39% to SEK 68 million, while also creating a new green infrastructure business area alongside Bara Mineraler AB with about SEK 300 million in pro forma revenue and an EBITA margin above 10%.
To fund the acquisition and bolster its capacity for further deals, Seafire’s board has proposed a fully guaranteed rights issue of roughly SEK 140 million, offering shareholders three new shares for every five held at a subscription price of SEK 5.45. The capital raise, supported and largely underwritten by major shareholders representing about 62.7% of votes, combined with an expanded bank facility, is set to reduce leverage to between 1.7x and 2.4x pro forma, strengthening Seafire’s balance sheet and acquisition pipeline as it consolidates its position in green infrastructure and related segments.
