Banco Santander said it will issue up to 334,809,216 new ordinary shares as part of its acquisition of Webster Financial Corporation, expanding its equity base to finance the transaction. The bank stated it will not publish a prospectus under the EU Prospectus Regulation for this share issue, instead relying on specific regulatory exemptions.

To comply with disclosure obligations, Santander has published an exemption document on its corporate website and filed it with Spain’s National Securities Market Commission, making it publicly available. The document, prepared under Annex IX of the Prospectus Regulation, is not a prospectus and has not been reviewed or approved by the regulator, underscoring that the share issuance proceeds under a streamlined regulatory regime.
