Banco Santander disclosed an internal share transaction involving Agropecuaria El Castaño, S.L.U., a company closely associated with board director Francisco Javier Botín-Sanz de Sautuola O´Shea. Agropecuaria El Castaño, S.L.U. contributed 13,135,613 Banco Santander shares to another Botín-controlled entity, Agropecuaria El Castaño Ibérica, S.L.U., at a reference price of €10.00 per share, based on the market closing price on 23 December 2025, with Javier Botín holding 100% of the share capital in both companies. The off-market restructuring consolidates the director’s family holdings within related vehicles without changing Banco Santander’s overall share capital, but it underscores the scale and continued reorganization of insider-related stakes in the bank.
