Sailfish Royalty ( (TSE:FISH) ) just unveiled an announcement.
Sailfish Royalty has amended its agreements with Mako Mining to replace the previously planned five-year gold stream and 2% NSR royalty on the Mt. Hamilton gold-silver project in Nevada with a new 11-year gold stream structure. Under the revised terms, Sailfish will transfer its legal title in Mt. Hamilton LLC to Mako in exchange for a secured gold stream deemed to be worth US$40 million, with fixed monthly gold deliveries and pricing parameters for the first 60 months and lower-volume, uncapped pricing deliveries for the remaining 72 months.
The restructured deal decouples Sailfish’s payments from actual production at Mt. Hamilton, improving the certainty and timing of cash flows and smoothing the company’s growth trajectory ahead of expected revenue from its Spring Valley NSR in 2028. The transaction, which is a related-party deal due to common control between Sailfish and Mako, remains subject to shareholder approvals and TSX Venture Exchange acceptance, and includes the termination of the previously announced 2% NSR royalty agreement.
