Saga Communications ( (SGA) ) has released a notification of late filing.

Saga Communications, Inc. has filed a Form 12b-25 indicating a delay in submitting its Form 10-K (Yearly Report) for the fiscal year ended December 31, 2025. The late filing relates specifically to the company’s annual report covering its 2025 financial performance.

The company says it needs extra time to finalize its analysis of technical tax matters tied to a previously disclosed sale-leaseback transaction. Management is working through the tax and accounting consequences of that deal before it can complete the Form 10-K (Yearly Report).

Saga notes that it does not expect any material changes or adjustments to previously released operating results or cash flow figures connected to that transaction. Earlier financial disclosures issued in March 2026 are therefore expected to remain broadly intact.

Under the 12b-25 extension, Saga plans to file its 2025 Form 10-K (Yearly Report) within 15 calendar days of the original March 31, 2026 deadline. Investors should assume the annual report will be submitted in early to mid-April, provided no further complications arise.

The company also states it is current on all other required SEC periodic filings over the last 12 months. It does not anticipate significant changes in results of operations compared with the prior fiscal year in the statements that will appear in the delayed annual report.
