Richtech Robotics Inc. has notified regulators that it will be late filing its annual Form 10-K (Yearly Report) for the fiscal year ended September 30, 2025, via a Form 12b-25. The delayed filing concerns its Form 10-K (Yearly Report), not a Form 10-Q (Quarter Report) or Form 20-F (Yearly Report).
The company says the delay stems from the need for additional time to finalize its financial statements for the year. Management indicates that filing on time would require unreasonable effort or expense, but does not cite any auditor change, internal control failure, or special committee review as the cause. The issue appears to be timing and complexity of year-end work rather than a disclosed accounting dispute.
Richtech expects to submit its Form 10-K (Yearly Report) within the standard fifteen-day grace period allowed under SEC rules, signaling that the company views the delay as short and manageable.
Preliminary, unaudited figures point to a mixed financial picture. Revenue for fiscal 2025 is expected to rise about 20.9% to roughly $5.1 million from $4.2 million a year earlier, driven by a strategic shift toward leasing and service contracts that build recurring revenue and longer-term customer ties. Gross profit is projected to climb 37% to about $3.7 million, with gross margin improving from 64% to around 73%, reflecting better unit economics. At the same time, operating expenses are expected to more than double to roughly $21.1 million from $9.8 million, pushing the projected net loss to about $15.2 million versus $8.1 million in fiscal 2024. Management attributes the deeper loss to higher professional fees tied to financing, increased public company compliance costs, heavier research and development spending, and expanded general and administrative expenses. The company cautions that all of these figures are unaudited, subject to change, and constitute forward-looking information until the official Form 10-K (Yearly Report) is filed.
Richtech states that it has kept current with all other required SEC filings over the past year and is working to complete its year-end reporting within the allowed extension period. The notification is signed by Chief Financial Officer Zhenqiang (Michael) Huang, underscoring ongoing efforts to stay in compliance while the final fiscal 2025 numbers are completed.
