Restaurant Brands Asia Limited’s board has approved an increase in its authorised share capital from INR 700 crore to INR 900 crore, enabling the issuance of additional equity shares. The company will undertake a sizeable preferential issue of equity shares and warrants on a private placement basis, primarily to Lenexis Foodworks Private Limited and associated acquirers, at a price of INR 70 per share or warrant, raising close to INR 1,500 crore in total potential capital if all warrants are exercised.
In parallel, key existing shareholders QSR Asia Pte Ltd and F&B Asia Ventures (Singapore) Pte. Ltd. have signed a share purchase agreement to sell an 11.26% stake to the same acquirer group and Inspira Agro Trading LLC at INR 70 per share, triggering a mandatory open offer for public shareholders and a change in control. Following completion of these transactions and regulatory and shareholder approvals, the acquirers and Inspira Agro Trading LLC will become the new promoters of Restaurant Brands Asia, while the current promoters will exit, marking a significant ownership and control shift that could reshape the company’s strategic direction and competitive positioning in India’s QSR sector.
