Relevant Gold Corp. has completed the first tranche of its non-brokered private placement, issuing 10,298,550 common shares at $0.50 each for gross proceeds of $5.15 million. The financing is structured as a concurrent private placement and a listed issuer financing exemption offering, with securities from the private placement subject to a four-month resale restriction.
In Tranche 1 of the listed issuer financing portion, the company paid cash finders’ fees of $101,200 and issued 202,800 broker warrants exercisable at $0.50 for 12 months. A second and final tranche is expected around April 10, 2026, with strategic investors Kinross Gold Corporation and William Bollinger anticipated to participate to maintain their approximately 19.9% stakes.
Management says the proceeds will fund a high-impact exploration program across Relevant Gold’s Wyoming portfolio, as well as potential property acquisitions, project advancement, and general corporate purposes. The financing, which remains subject to final TSX Venture Exchange acceptance, strengthens the company’s capital position and underscores ongoing support from both strategic and retail investors.
