Red Metal Resources Ltd. ( (TSE:RMES) ) has issued an announcement.

On May 13, 2026, Red Metal Resources Ltd. announced it has filed Form 15F with the U.S. Securities and Exchange Commission to terminate registration of its common shares under Section 12(g) of the Exchange Act. This move also aims to end its reporting obligations under Sections 13(a) and 15(d), after the company concluded its U.S. trading volume, at about 0.99% of global volume over the prior 12 months, met the conditions under Rule 12h-6.

Following the Form 15F filing, Red Metal’s Exchange Act reporting duties are immediately suspended and are expected to be fully terminated within 90 days, absent SEC objection. The company’s shares will remain traded in Canada, Germany and on U.S. OTC markets, and it plans to rely on the Rule 12g3-2(b) exemption while continuing to provide home-country disclosure via SEDAR+ and its corporate website, limiting U.S. compliance burdens without exiting U.S. trading entirely.
