REC Silicon ASA has completed the allocation in its fully underwritten rights issue of 4,078,000,000 new shares at NOK 0.2385 per share, raising gross proceeds of NOK 972.6 million. Existing shareholders other than Anchor AS subscribed for 150,230,856 shares, while the remaining 3,927,769,144 shares, along with 113,000,457 underwriting commission shares, will be taken up by Anchor AS, significantly increasing the underwriter’s ownership stake.
The capital increase is expected to be registered and the new shares admitted to trading on Euronext Oslo Børs around 14 April 2026, subject to timely payment by investors. The transaction shores up REC Silicon’s balance sheet and secures funding under challenging subscription demand, but it also brings substantial dilution for existing shareholders and concentrates ownership further with the underwriting investor.
