Sammaan Capital Limited has secured Reserve Bank of India approval for Avenir Investment RSC Ltd, owned by International Holding Company PJSC, to acquire a controlling stake via a large preferential equity issue, including an indirect change of control at subsidiary Sammaan Finserve Limited. The RBI has also waived the public notice period, clearing a key regulatory hurdle for the roughly INR 8,850 crore capital infusion that will initially give the acquirer about 41.23% of the company and up to 63.36% post-open offer, with only Securities and Exchange Board of India approvals remaining before the transaction can be completed, potentially strengthening the lender’s capital base and strategic backing.
