On April 1, 2026, QNB Corp. completed its previously announced all‑stock acquisition of Victory Bancorp, Inc., merging Victory into QNB and combining The Victory Bank with QNB Bank, with QNB Bank as the surviving Pennsylvania‑chartered state bank. Each Victory common share was converted into 0.55 QNB common shares, QNB’s outstanding shares were unchanged, and Victory Bank will operate as a division of QNB Bank during an interim period while systems and operations are integrated.
QNB added former Victory chief executive Joseph W. Major and independent director Kevin L. Johnson to its board, signaling an effort to preserve local expertise as it expands its footprint. Victory Bank’s systems are slated to convert to QNB over the weekend of June 19–21, 2026, after which Victory locations will reopen on June 22 as fully integrated QNB Bank branches, giving customers access to 14 full‑service offices across Montgomery, Bucks, and Lehigh counties and reinforcing QNB’s regional community banking franchise.
