The committee, formed by a resolution passed by the Board on September 25, 2024, is tasked with overseeing the nomination of directors and ensuring compliance with the Listing Rules of the Hong Kong Stock Exchange. The committee will consist of at least three members, with a majority being independent non-executive directors, and will meet at least once a year to fulfill its duties.
