On April 20, 2026, Profusa completed an additional closing under a February 11, 2025 securities purchase agreement with Ascent Partners Fund, issuing a senior secured convertible promissory note with an aggregate principal of $1,111,111.11 and a warrant to buy up to 3,333,333 common shares for a total purchase price of $1,000,000. The note, bearing 12% annual interest and maturing on April 20, 2027, is secured by substantially all company assets, is convertible at $0.50 per share subject to ownership limits and default provisions that can raise the rate to 24%, while the warrant, exercisable for five years at $0.50 per share with anti-dilution protections, was expanded via a side letter that also granted registration rights and was paired with a 120-day lock-up agreement restricting Ascent’s resale of the underlying shares until August 22, 2026.

In a side letter dated April 20, 2026, Ascent waived certain prior defaults relating to late warrant delivery from an April 2, 2026 closing, increased the warrant’s share count from 1,111,111 to 3,333,333, and obtained demand and piggyback registration rights for the underlying stock. Concurrently, a lock-up agreement bars Ascent from selling, pledging, or hedging the warrant shares for 120 days, helping to stabilize Profusa’s share trading while the company secures additional capital through this structured, asset-backed financing.
