Precise Biometrics and Fingerprint Cards have agreed to a statutory merger of equals under Swedish law, with Precise Biometrics absorbing Fingerprint Cards to form a combined biometrics and identity company. The transaction is structured as a share exchange, where Fingerprint Cards’ shareholders will receive nine new Precise Biometrics shares for each share held, valuing Fingerprint Cards at about SEK 135.7 million and giving its investors roughly 47% of the merged group.
The combined company aims to create a global leader with greater scale, broader product coverage, and enhanced commercial reach in a fragmented biometrics and identity market. Management expects at least SEK 45 million in annual cost synergies, alongside additional commercial benefits from upselling, cross-selling, and deeper customer relationships, and plans a subsequent rights issue of around SEK 110 million to accelerate growth and support further industry consolidation.
