Power Assets Holdings has agreed, through its indirect wholly owned subsidiary, to sell its 40% stake in UK Power Networks alongside partners CKI and CKA, disposing of 100% of the UK electricity distributor’s share capital and related shareholder debt instruments to a third-party buyer. The deal monetises a successful investment made in 2010, with the board highlighting an attractive valuation, significant accounting gain and fresh cash proceeds to fund future investments or acquisitions, although completion remains subject to conditions and shareholders are cautioned that the transaction may not proceed.
The disposal qualifies as a major transaction under Hong Kong listing rules, as one or more percentage ratios exceed 25% but remain below 75%, triggering announcement, circular and shareholder approval requirements.
