Pop Culture Group ( (CPOP) ) just unveiled an announcement.

Pop Culture Group has called an extraordinary general meeting of shareholders for May 15, 2026, in Xiamen, with shareholders of record as of April 22, 2026 eligible to vote. The meeting centers on restructuring the company’s share capital through a 10-for-1 consolidation of all classes of ordinary shares, adjustments to authorized capital, and the adoption of amended and restated constitutional documents.

Shareholders will also vote on a substantial authorized share capital increase following the initial consolidation, enabling the creation of a large pool of new Class A, B and C shares. The agenda further seeks advance shareholder approval for additional share consolidations over the following year at ratios between 2:1 and 250:1, which would give the board significant flexibility to manage the capital structure, potentially addressing listing requirements and future financing needs.

The proposals include refreshed memorandum and articles of association to reflect both the immediate capital changes and any future consolidations authorized by the board. Directors are also asking shareholders to permit adjournment of the meeting if turnout or support is insufficient, underscoring management’s determination to secure approval for a more adaptable equity structure that could influence existing holders through future dilutions or reverse splits.
