Pony AI Inc. has called an extraordinary general meeting for April 2, 2026 in Guangzhou to seek shareholder approval for a series of capital and constitutional changes, including the re-designation of 20 million unclassified shares into Class A ordinary shares within its existing authorised share capital. The company is also proposing a full amendment and restatement of its memorandum and articles of association, with alternative versions depending on whether a class-based resolution is approved by separate Class A and Class B shareholder meetings, in order to align its governance documents with the proposed share structure. In addition, Pony AI is asking shareholders to approve and adopt a new 2026 Share Scheme, subject to Hong Kong Stock Exchange approval for listing of any Class A shares issued under it, empowering the board to grant awards, administer and modify the scheme in accordance with listing rules, and handle all related filings and procedural matters, which together would enhance its flexibility in capital management and employee or stakeholder incentivisation.
