The funds are intended for general corporate purposes, including working capital and operating expenses. The transaction was approved by the disinterested members of the Audit Committee and Board, with terms deemed fair and comparable to those with unaffiliated third parties. The company plans to repay the note by November 27, 2026, using cash from operations or future financing.
