Pattern S.P.A ( (IT:PTR) ) just unveiled an announcement.

Pattern S.p.A. has completed a reorganisation to consolidate control over textile producer S.M.T. S.p.A., approving a capital increase reserved for Camer S.r.l. via an in‑kind contribution of SMT shares and linked agreements including a 12‑month lock‑up and Camer’s right to appoint a board member. The move simplifies shareholder arrangements around SMT, strengthens Pattern’s grip on its knitwear and textile supply chain, and is designed to reinforce its role as an integrated production hub for luxury fashion clients.

In connection with the closing, the board co‑opted Stefano Casini to replace resigning director Andrea Campani and granted him strategic responsibility for the group’s knitwear hub, while approving a closing memorandum that adjusts some terms of the original deal and terminates prior shareholder agreements with Camer on SMT. By centralising governance and delegating knitwear oversight to a dedicated director, Pattern aims to sharpen strategic management of a key product area and potentially improve operational coordination and service to luxury brand partners.
