Pampa Energía held its General Ordinary and Extraordinary Shareholders’ Meeting virtually on April 7, 2026, approving with near-unanimous votes the consolidated and individual financial statements for the fiscal year ended December 31, 2025, and allocating AR$511.531 million of retained earnings to a voluntary reserve. Shareholders also ratified the performance and compensation of the Board, Supervisory Committee, and external auditors for 2025, re-elected key directors, appointed a new independent director, and confirmed Price Waterhouse & Co. The meeting further extended for five years the company’s negotiable obligations program, delegating broad authority to the Board to structure future debt issuances, which strengthens Pampa’s financing flexibility in Argentine and international markets. Investors also approved a capital reduction through the cancellation of 19,920,279 treasury shares, equivalent to 1.46% of share capital, a move that tightens the company’s equity base and could be viewed as shareholder-friendly by increasing the relative stake of remaining shares.
