Pacific Oak Strategic Opportunity REIT ( (PCOK) ) has issued an announcement.

On August 19, 2025, Pacific Oak Strategic Opportunity REIT and its former external advisor entered into an undertaking in favor of a trustee for Series B and Series D bondholders of its BVI subsidiary, and on December 26, 2025 the trustee sought a Tel Aviv–Jaffa court order to convene bondholder creditors to approve a debt arrangement under Israeli insolvency law. After several pleadings, the court ordered such a meeting on February 4, 2026, although a date has not yet been set, and the company expects all assets held through the BVI to be sold in an orderly process under this arrangement.

On February 24, 2026, the board dissolved the audit committee and adopted a modified reporting approach, ending the filing of Forms 10‑K and 10‑Q while continuing Current Reports on Form 8‑K that will include the BVI’s IFRS financials, reflecting limited cash, uncertain BVI funding and minimal trading in its securities. The board also chose not to seek stockholder approval for a liquidation plan or provide an updated net asset value per share, instead prioritizing expense reduction, with independent directors waiving all accrued and future fees during the implementation of the debt arrangement.
