Pacific Basin Shipping has entered into a shareholder’s agreement with The Caravel Group and Caravel Maritime Ventures to formalise Caravel’s role as a substantial and single largest shareholder while preserving the company’s operational independence. The deal caps Caravel’s and its representatives’ aggregate interests at 23% of issued shares during the period in which they have board representation and restricts them from coordinating with others to exceed that threshold.

During this period, Caravel representatives, including any board nominees, are barred from proposing or supporting takeover offers or proxy contests, though they may back bids from independent third parties. In return, the Caravel group is granted the right to nominate up to two non-executive directors, depending on its shareholding level, in a framework intended to support constructive engagement and reinforce Pacific Basin’s positioning as an independent global shipping operator, which the board deems fair and beneficial to all shareholders.
