OVS Investors Form Short-Term Pact to Steer Board Appointments

OVS S.p.A. ( (IT:OVS) ) has provided an announcement.

Tamburi Investment Partners, Concerto, and String, which together hold just over 34% of OVS’s share capital and nearly 36% of its voting share capital, have entered into a shareholders’ agreement governing 87,024,373 OVS shares. The pact aligns a significant investor bloc ahead of the shareholders’ meeting, consolidating influence over upcoming governance decisions.

The agreement focuses on presenting a joint slate for the renewal of OVS’s Board of Directors and Board of Statutory Auditors, and on coordinating votes at the shareholders’ meeting scheduled for 29 May 2026. By unifying their stance on key appointments, the signatories strengthen their say in the retailer’s governance while limiting the pact’s duration to the conclusion of that meeting.

The accord, signed on 28 April 2026 and effective until 29 May 2026, has been filed with the Companies’ Register of Venice and disclosed via OVS’s corporate website and official storage and press channels. Its narrowly defined scope and time frame suggest a targeted move to shape board composition rather than a long-term change in control structure.
