Oriental Rise Holdings Limited has clarified that on November 19, 2025, its board used existing “blank cheque” authority to designate and issue 2,500,000 Founder Preferred Shares (now 125,000 after a 1-for-20 reverse split) to Plentiful Thriving (BVI) Limited, an entity wholly owned by founder and major shareholder Chun Sun Wong. These non-convertible, non-transferable shares carry 1,000 votes each and confer no economic rights, effectively granting Wong 125,000,000 votes and cementing his voting control without diluting ordinary shareholders’ economic interests.
At an Extraordinary General Meeting held on February 14, 2026, shareholders approved an increase in authorized share capital to US$5,000,000, representing 312,500,000 shares of US$0.016 par value, with 125,000 shares reserved as Founder Preferred Shares. Investors also backed a new amended and restated memorandum and articles of association that, among other changes, adjust written-resolution and quorum rules and give the board six months of broad authority to implement another share consolidation at a ratio between 1-for-10 and 1-for-200, signaling continued flexibility in managing the capital structure and exchange-listing considerations.
