OMV AG ( (DE:OMV) ) just unveiled an announcement.

OMV AG’s executive and supervisory boards plan to use an existing shareholder authorization to allocate up to 81,395 treasury shares to Executive Board members and up to 226,460 shares to selected senior managers under its 2023 Long-Term Incentive Plan and the share-based portion of the 2025 annual bonus. These awards, which are contingent on multi-year performance metrics, align management remuneration with OMV’s medium-term strategy, shareholder returns, and ESG priorities, while requiring substantial personal shareholdings from top management.

The programs tie payouts to relative total shareholder return, cash flow, capital efficiency, and greenhouse gas reduction targets, and include health and safety malus and clawback mechanisms to curb excessive risk-taking and penalize misconduct or financial misstatements. OMV will use treasury shares for these incentives and explicitly excludes other shareholders from buying these shares, arguing that the exclusion of subscription rights is justified by the need to foster long-term value creation, retention, and stronger alignment between management and investor interests.
