OMRON ( (JP:6645) ) just unveiled an update.
Omron will carve out its Device & Module Solutions business (DMB) into subsidiary Omron Devices Co., Ltd. through an absorption-type company split effective July 1, 2026, followed by intra-group transfers of related shares and assets worldwide. The subsidiary, to be renamed Aratas Corporation, will then have all its shares sold to a Carlyle-backed vehicle on October 1, 2026, with timing subject to regulatory clearances.
The move reflects Omron’s response to intense competition and the need for faster decision-making and larger investments in high-capacity relay and device markets, particularly around EV-related demand. By selling DMB to Carlyle while retaining an indirect 5% stake, Omron aims to create a growth-focused environment for the spun-off business and free capital and management attention to accelerate its industrial automation and data services strategy, while preserving avenues for future commercial collaboration with the new entity.
