Olidata’s board of directors has approved the documentation for a 2026 Management by Objectives Incentive Plan and a 2026–2028 Long-Term Incentive Plan, alongside a proposal to authorize the purchase and disposal of treasury shares, and has convened an ordinary shareholders’ meeting for 5 June 2026 in Rome. At the meeting, shareholders will be asked to approve the 2025 financial statements, the 2026 remuneration policy and related compensation report, the new incentive plans, and the updated buyback authorization, aligning governance and pay structures with the group’s evolving variable remuneration framework.
The 2026 MBO Plan targets the chief executive officer and selected managers, tying bonuses to adjusted consolidated EBITDA and revenues at group level, with additional indicators such as net financial position and subsidiary-specific performance for certain beneficiaries. Vesting depends on achieving at least 85% of group performance targets, with defined minimum, target, and maximum payout levels, optional settlement in treasury shares or cash, and the inclusion of claw-back, good leaver/bad leaver rules, and a ban on hedging, signaling a stronger link between management incentives, financial performance, and shareholder interests.
