Office Properties Income Trust and its affiliates, which filed voluntary Chapter 11 petitions on October 30, 2025, have reached two major mediated settlements with key creditor groups that shape recoveries under their amended reorganization plan. In late February 2026, the company, unsecured noteholder groups and the official creditors’ committee agreed on a settlement that provides unsecured noteholders with a $35 million equity rights offering, 6.3% of the reorganized equity plus warrants, full equity recovery for priority guaranteed unsecured notes, cash payment in full for trade and vendor claims, new governance and minority protections, and a recommendation that unsecured creditors support the plan.
On March 2, 2026, the company also struck a separate settlement with holders of its 3.25% senior secured notes due 2026, anchored by a $385 million secured promissory note bearing 8.125% interest, staged cash payments totaling $60 million, required property appraisals and potential collateral sales to pay down the note. The debtors continue to operate as debtors-in-possession and have filed January 2026 monthly operating reports, while warning that existing common shares are expected to be cancelled with no recovery upon plan effectiveness, underscoring substantial losses for equity holders even as creditors gain more defined recovery paths and control over the reorganized company.
