On October 30, 2025, Office Properties Income Trust and certain subsidiaries filed voluntary Chapter 11 petitions in the U.S. Bankruptcy Court for the Southern District of Texas to implement a court-supervised financial restructuring under a previously agreed restructuring support agreement. On February 4, 2026, the court approved a final order allowing OPI to enter into an amended and restated debtor-in-possession (DIP) term loan credit agreement that provides up to $125 million in secured postpetition financing, including amounts already drawn, staged future draws, and a $40 million Tranche B term loan expected to be available around April 3, 2026, all subject to customary conditions, milestones, and covenants. The DIP facility, which carries superpriority administrative status and first- and junior-priority liens on various debtor assets, has a maturity tied to dates in May or July 2026 or key Chapter 11 milestones, and features reduced exit fees, optional equity payment for upfront fees, and prepayment provisions, giving OPI critical liquidity and time to pursue confirmation of its reorganization plan while protecting lender interests during the restructuring process.
