OFA Group Gains Strategic Co-Ownership of QIKBIM IP

On March 31, 2026, Office for Fine Architecture Limited entered into an Intellectual Property Assignment and Co-Ownership Agreement with Alan To AI Consultancy Co. Limited, acquiring a 50% undivided co-ownership interest in the QIKBIM system and related IP for a total purchase price of $17.5 million, partly offset by $11,994,800 of historical payments. The buyer will pay the remaining consideration through a final installment and supplemental payments by December 31, 2026, with escrow, interest on late amounts, and no reversal of the assignment in case of delayed payment.

Under the agreement, the buyer holds contractual co-ownership but gains sole authority over operational, technical, strategic, and commercial decisions for QIKBIM, while the seller’s consent rights are confined to limited fundamental matters and its transfer, licensing, and competitive activities are heavily restricted. Net monetization proceeds from the QIKBIM IP will be shared 50/50 after recovery of buyer-funded development costs, with the buyer controlling invoicing and accounting and the seller providing 24 months of transition and technical support, reinforcing OFA Group’s control over the platform’s commercialization and long-term business strategy.
